These terms govern your use of Simplexicity. They're written to be readable; if anything is unclear, email us before you sign up.
1. Eligibility
You must be at least 13 years old to use Simplexicity. You must not be barred from using AI services under the laws of your country. By creating an account, you represent that you meet both conditions.
2. Account security
You're responsible for keeping your login credentials secure and for everything that happens under your account. If you suspect unauthorized access, change your password and email us immediately.
3. Acceptable use
You may not use Simplexicity to:
Generate, distribute, or solicit content that's illegal in your jurisdiction (or ours) — child sexual abuse material, violent threats, content meant to facilitate crimes against persons.
Generate content designed to defame, harass, or impersonate a real person.
Build derivative AI products that bulk-extract our specialist routing, memory, or agent outputs in violation of these terms or the underlying providers' policies.
Probe, scan, or attack the platform's infrastructure, including but not limited to attempting to extract environment variables, internal routing logic, or other accounts' data.
Send automated traffic that exceeds reasonable rate limits without our written permission.
Resell access to your account or share credentials with multiple users (Enterprise team plans coming later — until then, one account per person).
We reserve the right to suspend or terminate accounts that violate these rules. We aim to give notice and a chance to correct course; abuse cases involving illegal content get acted on immediately.
4. Subscription & billing
Plans are monthly recurring. Billed at the start of each period.
Quotas reset on rolling 24-hour and 7-day windows, not on calendar boundaries.
You can cancel anytime. Cancellation takes effect at the end of the current paid period; you keep access until then.
Refunds: within 14 days of your first paid month, full refund on request, no questions asked. After that, refunds are handled case-by-case via support.
We may change pricing for new periods with at least 30 days' notice. Existing subscribers keep their current price through the end of their current term.
Failure to pay (declined card, chargeback) results in tier downgrade to "cancelled" and loss of chat access until the issue is resolved. Your data stays intact.
5. Content rights
Your content stays yours. The questions you ask, files you upload, and Simplexicity's responses to your queries are yours. We don't claim ownership.
License to operate. You grant us a non-exclusive license to store, process, and transmit your content as necessary to run the product (return answers to you, persist your threads, recall memory). The license terminates when you delete the content.
No training on your data. We don't train models on your conversations. Subprocessors (LLM providers via our gateway) are contractually prohibited from doing so.
AI output disclaimers. Answers from Simplexicity are AI-generated and may be inaccurate, incomplete, or out of date. Treat them as a starting point, not a final authority — especially for legal, medical, financial, and safety-critical decisions. We provide citations on research turns so you can verify the underlying sources.
6. Service availability
We aim for high availability but don't guarantee uninterrupted service. Maintenance windows, third-party provider outages, and rare bugs do happen. For active production use cases, monitor /status.
7. Disclaimers
Simplexicity is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions don't allow these disclaimers; the limitations apply only to the extent legally permissible.
8. Limitation of liability
To the maximum extent permitted by law, our total liability to you in any 12-month period is capped at the greater of (a) the amount you paid us in that period or (b) $100 USD. We're not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data, or goodwill.
9. Termination
You can terminate at any time by deleting your account. We can terminate for material breach of these terms (acceptable use, payment) with reasonable notice, except in cases of illegal content or active abuse. On termination, you lose product access; we delete your data per the schedule in the Privacy Policy.
10. Governing law & disputes
These terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Disputes go to binding arbitration in San Francisco County, with the AAA's Consumer Arbitration Rules. Either party may bring a claim in small claims court for amounts within the court's jurisdiction. You waive participation in class actions to the extent permitted by law.
11. Changes
If we update these terms, we'll bump the "Last updated" date above and email account holders if the change is material. Continued use after a material change means you accept the updated terms.
